Board of Directors

Cigna Corporation's By-laws allow for a Board of eight to 16 members. Board directors must meet certain criteria, including:

Must represent all shareholders
Must demonstrate good judgment and strong commitment to ethics and integrity
Must be free of conflicts of interest
Must possess the ability to analyze complex business and public policy issues and provide relevant input regarding the Company's business strategy
Must have demonstrated a high degree of achievement in their respective fields
Must contribute to the overall diversity (in its various forms) of the Board of Directors

The following individuals are member of the Board of Directors as of May 2012:

DAVID M. CORDANI
David M. Cordani, 46, has been a Director of Cigna since October 2009. Mr. Cordani has served as Chief Executive Officer since December 2009 and as President since June 2008. He served as Chief Operating Officer from June 2008 until December 2009, President, Cigna HealthCare from 2005 until 2008; and Senior Vice President, Customer Segments & Marketing, Cigna HealthCare from 2004 until 2005. He has been associated with Cigna since 1991. His term as a Director of Cigna expires in 2013.

ERIC J. FOSS
Eric J. Foss, 53, has been a Director of Cigna Corporation since July 2011. Mr. Foss has served as President, Chief Executive Officer and a Director of ARAMARK since May 2012. He served as Chief Executive Officer of Pepsi Beverages Company (beverage manufacturer, seller and distibutor) from 2010 until December 2011. Prior to that Mr. Foss served as Chairman and Chief Executive Officer of The Pepsi Bottling Group from 2008 until 2010; President and Chief Executive Officer from 2006 until 2007; and Chief Operating Officer from 2005 until 2006. Mr. Foss has served on the Board of United Dominion Realty Trust, Inc. since 2003. His term as a Director of Cigna expires in 2014.

ISAIAH HARRIS, JR.
Ike Harris, 59, has been a Director of Cigna since 2005. Mr. Harris has served as Chairman of Cigna Corporation since December 2009 and he served as Vice Chairman of Cigna Corporation from July 2009 until December 2009. Mr. Harris served as the President and Chief Executive Officer of AT&T Advertising & Publishing - East (formerly BellSouth Advertising and Publishing Group, a communications services company) from 2005 until his retirement in 2007, and as President, BellSouth Enterprises, Inc. from 2004 until 2005. Mr. Harris has served as an Independent Trustee of Wells Fargo Advantage Funds since 2008 and was a Director of Deluxe Corporation from 2004 until 2011. His term as a Director of Cigna expires in 2013.

JANE E. HENNEY, M.D.
Jane Henney, 64, has been a Director of Cigna since 2004. Dr. Henney has served as a professor of Medicine at the University of Cincinnati College of Medicine (an educational institution) since 2008. She served as Senior Vice President and Provost, Health Affairs at University of Cincinnati Academic Health Center from 2003 until January 2008. From 1998 to 2001, Dr. Henney served as Commissioner of Food and Drugs at the U.S. Food and Drug Administration. Dr. Henney has been a Director of AmerisourceBergen Corporation since 2002 and she served as a Director of AstraZeneca PLC from 2001 until 2011. Her term as a Director of Cigna expires in 2013.

ROMAN MARTINEZ IV
Roman Martinez IV, 64, has been a Director of Cigna since 2005. He has been a private investor since 2003. Mr. Martinez has been a Director of Alliant Techsystems, Inc. since 2004 and Bacardi Limited since 2008. His term as a Director of Cigna expires in 2014.

JOHN M. PARTRIDGE
John M. Partridge, 62, has been a director of Cigna Corporation since 2009. Mr. Partridge has served as President of Visa Inc. (consumer credit company) since October 2009 and served as Chief Operating Officer from 2007 to 2009. He joined VISA USA in October 1999 and served as President and Chief Executive Officer of Inovant (a VISA subsidiary) from 2000 to 2007 and also served as Interim President of VISA USA in 2007. His term as a director expires in April 2015.

JAMES E. ROGERS
James E. Rogers, 64, has been a Director of Cigna since 2007. He has served as the Chairman of Duke Energy Corporation (an electric power company) since 2007 and as the President and Chief Executive Officer since 2006. He was formerly the Chairman, President and Chief Executive Officer of CINERGY Corp., (which merged with Duke Energy Corporation in 2006) from 1994 until 2006. Mr. Rogers has been a director of Applied Materials, Inc. since 2008 and served as a director of Fifth Third Bancorp from 1995 through April 2009. His term as a Director of Cigna expires in 2015.

JOSEPH P. SULLIVAN
Joseph P. Sullivan, 69, has been a director since 2010. Mr. Sullivan has been a private investor since 2003. He was Chairman and Chief Executive Officer of Protocare, Inc. (a clinical trials and pharmaceutical industries consulting firm) from 2000 to 2003. Mr. Sullivan has been director of Amylin Pharmaceuticals Inc. since 2003, a director of HCP, Inc. since 2004, and a director of MPG Office Trust, Inc. since 2009. He has also served as Chairman of the Board of Advisors of RAND Health since 2001. His term as a Director expires in 2015.

ERIC C. WISEMAN
Eric Wiseman, 56, has been a Director of Cigna since 2007. Mr. Wiseman has served as Chairman of VF Corporation (an apparel manufacturer) since August 2008, as Chief Executive Officer since January 2008, and as President and a Director since 2006. Prior to that he served as Chief Operating Officer of VF Corporation from 2006 to 2007; Executive Vice President, Global Brands from 2005 to 2006; Vice President and Chairman, Sportswear and Outdoor Coalitions from 2004 until 2005; and Vice President and Chairman, Global Intimates and Sportswear Coalition from 2003 until 2004. Mr. Wiseman has been a Director of Lowe's Companies, Inc. since 2011. His term as a Director of Cigna expires in 2015.

DONNA F. ZARCONE
Donna Zarcone, 54, has been a Director of Cigna since 2005. Ms. Zarcone has been President and Chief Executive Officer of The Economic Club of Chicago (a civic and business leadership organization) since February 2012. She served as Interim President of the Economic Club of Chicago from October 2011 until February 2012 and as President and Chief Executive Officer of D. F. Zarcone & Associates, LLC (a strategic advisory firm) from 2007 until February 2012. She served as the President and Chief Operating Officer of Harley-Davidson Financial Services, Inc. (a provider of wholesale and retail financing, insurance and credit card programs), a wholly-owned subsidiary of Harley-Davidson, Inc., from 1998 until 2006. Ms. Zarcone has been a Director of CDW LLC since 2011 and she served as a Director of the Jones Group, Inc. from 2007 until May 2012. She also served as Chairman of the Board of Eaglemark Saving Bank from 2002 to 2006. Her term as a Director of Cigna expires in 2013.

WILLIAM D. ZOLLARS
Bill Zollars, 64, has been a Director of Cigna since 2005. Mr. Zollars has served as the Chairman, President and Chief Executive Officer of YRC Worldwide, Inc. (formerly Yellow Roadway Corporation) (a holding company whose subsidiaries provide regional, national and international transportation and related services) from 1999 until July 2011. Mr. Zollars served as a Director of ProLogis from 2001 through 2010 and rejoined the Board of ProLogis in 2011. He has served as a Director of Cerner Corporation since 2005. His term as a Director of Cigna expires in 2014.

Board independence
Cigna Corporation's Board of Directors has adopted categorical director independence standards that meet or exceed the independence standards specified by the New York Stock Exchange and other applicable standards of independence. The Board has affirmatively determined that all of the Directors, except Mr. Cordani, are independent, having no material relationship with Cigna Corporation either directly or as a partner, shareholder or officer of an organization that has a relationship with Cigna.
