Cigna Ethics & Governance

Cigna ConnectsThe Values Connection. When people join the Cigna team, they learn five values that define our standards and describe our expectations. Three of these values make a direct connection with our strong culture of compliance. They are:

We act with integrity. We demonstrate courage. We are committed to excellence.

Ethics

Integrity helps drive everything we do: our strong compliance program is modeled after the Federal Sentencing Guidelines established by the U.S. Department of Justice. We pledge to honor:

  • Integrity in protecting Cigna's reputation and goodwill
  • Integrity in the marketplace
  • Integrity in the public sector
  • Integrity as a socially responsible corporate citizen
  • Integrity in the workplace

Integrity helps us understand what is right. Often it takes courage to actually do what is right. When a Cigna employee, in good faith, reports Code of Ethics and Principles of Conduct concerns, or participates in an investigation of these matters, they will not be subject to retaliation. Any Cigna employee who engages in retaliation is subject to disciplinary action up to, and including, termination.

We back this up with an ethics training program and annual affirmation statements from all employees. We regularly provide educational communications to our Cigna team that strongly convey the importance of doing the right thing for Cigna and for our millions of customers, clients and partners around the globe.

Cigna also has a strong risk assessment and reporting process that ensures monitoring and regular updating of significant compliance issues. Quarterly reports are shared with our Executive Leadership Team and Board of Directors.

Corporate Governance

Clear and consistent governance standards are absolutely fundamental in today’s complex business world. Key elements of our corporate governance framework include:

  • Independent Board and Board Leadership
  • Transparency and communication with shareholders and stakeholders
  • Robust risk management oversight
  • Strong governance practices and controls around executive compensation

Our Board of Directors regularly reviews Cigna's governance policies and practices to ensure that we are conducting our business in accordance with best practices that are in the best interests of Cigna, our customers, and the broader global community. Many of these policies and practices are reflected in Cigna's Board Practices, which establish clear governance standards to which the Board of Directors and management must adhere.

Transparency

One element of our governance framework deserves special mention. We believe our commitment to transparency around our business operations and results is essential to an open and productive relationship with external stakeholders.

We offer a variety of communication channels:

  • Quarterly reporting of financial results with non-GAAP financial summary
  • Investor events that bring investors and analysts together with members of the Cigna executive team, such as earnings conference calls, investor conferences and, the annual shareholder meeting

Ethics. Compliance. Transparency. Investors, media, and government demand all three. Current and prospective business partners deserve all three. Cigna and the Cigna team deliver all three.
